Constitution of The Red Dragons
Veterans Association
A. The name of this organization is The Red Dragons Veterans Association.
II. Purpose
A. It is the purpose of this organization to carry out any activities described under Title 26, Chapter 1 Section 501 (c) 19 (c) (1) through (8) of the Internal Revenue Code.
B. Should the cited sections be altered by proper legislative or regulatory procedure, this Constitution shall be considered altered so as to comply.
C. This article shall not be construed as requiring the organization to carry out any particular activity.
III. Membership
A. The membership of this organization shall comply with TITLE 26, Chapter 1 Section 1.501 (c) 19 (b) of the Internal Revenue Code as revised April 1, 2008.
B. Should the cited section be altered by proper legislative or regulatory procedure, this Constitution shall be considered altered so as to comply.
IV. Governance
A. This organization shall be governed by an Executive Committee composed of members of the organization as provided in the Bylaws.
B. Members of the Executive Committee shall participate voluntarily and without monetary compensation.
C.
The
Executive Committee shall direct the affairs of the Association in
accordance
with this Constitution and its Bylaws, subject to the laws of the State
of
D. This Constitution and its included Bylaws may be amended by majority vote of the Executive Committee.
V. Funds and Assets
A. No part of the funds or assets of the organization shall inure to the benefit of any private entity or individual.
B. No member of the Executive Committee shall be liable for any debts or other obligations incurred by the organization.
C. In the event of dissolution of this organization, remaining funds and assets shall be distributed to another organization meeting the requirements of Title 26, Chapter 1 Section 501 (c) (19) of the Internal Revenue Code or such amendment of the cited section as may be in force at the time of dissolution.
VI. Adoption
A.
We,
the undersigned organizers of this Association, adopt this Constitution
and its
included Bylaws this 16th day of April, 2009.

Red Dragons Veterans
Association
I. Activities
A. Every activity of the organization shall be in pursuit of the purposes defined in Article II of the Constitution.
B. The organization may pursue one purpose only, or more than one purpose.
II. Membership
A. Members are classified as follows:
1) Red Dragon Members are persons who are serving or have served in any of the following military units.
a) 2nd Chemical Battalion
b) 2nd Chemical Battalion (Smoke Generator)
c) 2nd Chemical Weapons Battalion
d) 88th Infantry Battalion (Heavy Mortar)
e) 461st Infantry Battalion (Heavy Mortar)
f) 2nd Chemical Mortar Battalion
g) 2nd Chemical Battalion (Motorized)
h) 2nd Separate Chemical battalion
i) 1st Chemical Regiment
j) 1st Gas Regiment
k) 30th Engineer Regiment
2) Veteran Members are persons who have served or are presently serving in the Armed Forces of the United States and do not meet the requirements for Red Dragon membership.
3) General Members are persons who do not meet the requirements for Red Dragon or Veteran membership, and who are either
a) Students in college or university ROTC programs or at Armed Services academies)
b) Spouses, widows, or widowers of a Red Dragon or Veteran member
B. Associates are persons who wish to participate in Association activities and do not meet the qualifications for membership or are determined to be in excess of the total membership requirements.
1) Associates may participate in all activities of the Association subject to approval by the Executive Committee.
2) Associates may not serve on the Executive Committee or express opposition to Executive Committee actions as described below.
3) Associates are not members as defined in 26 CFR 1.501 (c) 19 – 1 (b) and are not included in calculating the total membership requirements defined therein.
4) Associate members do not constitute an auxiliary organization as defined in 26 CFR 1.501 (c) 19 -1 (d) and as a group are not subject to the total membership requirements stated therein.
C.
Membership
will meet the requirements of 26 CFR 1.501 (c) 19 – 1 (b)
III. Governance
D. The Executive Committee shall have the power to conduct all affairs of the Association.
E. Executive Committee Membership
1) The Executive Committee shall be comprised of three or more members.
2) At least half of the Executive Committee members shall be Red Dragon Members of the Association.
3) Replacement or additional Executive Committee Members shall be named by the Executive Committee members then sitting.
F. Executive Committee Powers and Decisions
1) Executive Committee decisions shall be taken by majority vote
2) If the members assemble for a vote, said vote shall be by voice or show of hands unless a secret ballot is requested.
3) Members not physically present may vote by electronic or written communication.
4) The following Executive Committee actions must be presented to all members of the Association at the first reasonable opportunity.
a) Naming of replacement or additional Executive Committee members
b) Amendment of the Constitution or Bylaws
5) Members of the Association may challenge presented Executive Committee actions by the following procedure
a) If 20% percent or more of the Association members express opposition within 30 days, then the Executive Committee shall withdraw the proposed action or respond to the expressed concerns. In the event that 20% or more of the members still express opposition after 60 days, the Executive Committee shall put the question to a vote of the Association members.
b) If the members assemble for a vote, said vote shall be by voice or show of hands unless a secret ballot is requested.
c) Members not physically present may vote by electronic or written communication.
d) The result shall be determined by a majority of those voting
e) The same procedure shall be followed if 20% of the members request a vote to remove a sitting member of the Executive Committee.
G. Executive Committee Responsibilities
1) To actively recruit members and encourage participation in the activities of the Association.
2) To ensure that total membership meets the requirements stated in Article II of these Bylaws.
3) To discontinue the Association or Executive Committee membership of any individual when necessary.
4) To recruit and name members of the Executive Committee.
5) To inform the membership periodically but at least annually about the affairs and activities of the Association.
6) To consult periodically but at least annually with members of the Association to ensure that Executive Committee actions are reasonably consistent with the desires of the members.
7) To ensure compliance with all provisions of the Constitution.
8) To maintain such records as may be necessary to demonstrate compliance with the Constitution.
9) To establish and maintain bank accounts and financial records as needed to conduct the Association’s affairs.
10) To disburse the Association’s funds and assets as required to conduct affairs.
11) To dispose of funds and assets no longer required.
H. Coordinator
1) The Executive Committee shall appoint a Coordinator.
2) The Coordinator shall carry out, or cause to be carried out, all tasks necessary for the fulfillment of the responsibilities of the committee.
3) The Coordinator shall serve voluntarily and shall receive no compensation from the Association.
4) The Coordinator shall serve at the pleasure of the Executive Committee.
5) The Coordinator shall have the authority to take independent action provided that the Executive Committee is informed of said action with reasonable speed and detail.
6) To ensure that the Association has funds sufficient to meet any financial commitments necessary for its activities.
IV. Funds and Assets
A. No member of the Association or of the Executive Committee may disburse, promise to disburse, or encumber in any other way the funds and assets of the Association without the knowledge and consent of the Coordinator.
B. All funds received for the Association by any member shall be delivered at the earliest opportunity to the Coordinator for appropriate use and record keeping.
The Coordinator shall provide a financial report periodically but at least annually to the Association members.
